Summary
- This is a proprietary license that permits commercial, closed-source use of SQL Graph Visualizer without copyleft obligations.
- If you do not hold a valid commercial license, you must use the software under the AGPL-3.0-only terms instead (see LICENSE-AGPL).

Grant of License
Subject to payment of applicable fees and compliance with these terms, Licensor grants you (Licensee) a non-exclusive, non-transferable license to:
- use, reproduce, modify, and create derivative works of the Software,
- distribute, sublicense, and make available the Software and derivative works as part of your products and services, including in closed-source form,
- deploy the Software in any environment (on-premises, cloud, SaaS), and
- permit your contractors and affiliates to exercise the above rights on your behalf.

Restrictions
- You may not remove, alter, or obscure copyright notices.
- You may not use Licensor’s names, logos, or trademarks without prior written consent.
- You may not assert or assist in asserting patent claims against the Licensor based on your authorized use of the Software.
- You must ensure your sublicensees comply with terms no less protective than these for Licensor.

Ownership
- The Software is licensed, not sold. Licensor retains all right, title, and interest in and to the Software and associated intellectual property.

Support and Services
- Commercial support, warranties, and custom development may be available under a separate agreement or plan.

Warranty Disclaimer
- THE SOFTWARE IS PROVIDED “AS IS” WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

Limitation of Liability
- TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL LICENSOR BE LIABLE FOR ANY INDIRECT, SPECIAL, INCIDENTAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS, ARISING OUT OF OR IN CONNECTION WITH THIS LICENSE OR THE USE OF THE SOFTWARE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
- LICENSOR’S AGGREGATE LIABILITY UNDER THIS LICENSE SHALL NOT EXCEED THE FEES PAID BY LICENSEE FOR THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

Term and Termination
- This license is effective from the date you obtain a valid commercial license key or executed order form.
- Licensor may terminate this license for material breach if not cured within thirty (30) days after written notice.
- Upon termination, you must cease use and distribution of the Software under these commercial terms. Your rights under AGPL-3.0-only (if applicable) are unaffected.

Governing Law
- Unless otherwise agreed in writing, this license is governed by the laws of your principal place of business, excluding conflict-of-law rules and the UN CISG.
