This repository is an early-stage, architecture-first exploration of an IP Transaction Governance Framework. It is intentionally narrow in scope and focused on pre-execution workflow governance, not marketplace construction or transaction execution.
The goal of this work is to define and test a governance layer for IP transactions that emphasizes:
- staged progression
- gate-based transitions
- explicit acknowledgements
- pause-before-commitment
- event-level traceability
This project is not intended to handle payments, escrow, custody, KYC/AML, valuation, or legal execution. Contributions should respect and preserve that boundary.
Contributions are most valuable when they improve the clarity, rigor, or implementability of the core governance model.
Examples include:
- refining stage definitions and transition logic
- improving gate conditions and progression rules
- strengthening acknowledgement structures and semantics
- expanding or stress-testing pause conditions
- improving auditability and event trace design
- identifying edge cases, failure modes, or adversarial behaviors
- proposing clean integration points with external systems such as data rooms or legal workflows
To maintain coherence, the following directions are out of scope unless strongly justified:
- building a marketplace, listing platform, or deal network
- adding payment, escrow, custody, or execution infrastructure
- introducing KYC/AML systems or compliance tooling
- expanding into generalized CRM, BPM, or workflow software
- adding features that dilute the governance-layer focus
This is a governance-first system, not a full transaction stack.
- Keep proposals bounded and specific
- Explain why a change improves the governance model, not just functionality
- Avoid adding features that assume downstream execution or legal authority
- Prefer clarity and constraint over feature expansion
- Where possible, tie suggestions back to concrete failure modes or workflow risks
This project is being developed with a focus on process integrity, clarity, and protection for both builders and buyers.
The long-term development of a framework like this may require collaboration with domain experts, legal practitioners, institutional partners, or other contributors with relevant experience. Serious contributions that strengthen the model while preserving its core principles are welcome.
This repository should be understood as a foundation, not a finished product. The direction will continue to prioritize a bounded governance layer over expansion into adjacent domains.
