PROPRIETARY LICENSE AGREEMENT

IMPORTANT - READ CAREFULLY: This License Agreement ("Agreement") is a legal agreement between you (either an individual or a single entity, "Licensee") and Wontonee ("Licensor") for the PhonePe Payment Gateway for Bagisto software package ("Software").

BY INSTALLING, COPYING, OR OTHERWISE USING THE SOFTWARE, YOU AGREE TO BE BOUND BY THE TERMS OF THIS AGREEMENT. IF YOU DO NOT AGREE TO THE TERMS OF THIS AGREEMENT, DO NOT INSTALL OR USE THE SOFTWARE.

1. LICENSE GRANT
   Subject to the terms and conditions of this Agreement and payment of applicable license fees, Licensor grants Licensee a non-exclusive, non-transferable, limited license to use the Software solely for Licensee's internal business purposes on a single production domain.

2. RESTRICTIONS
   Licensee shall NOT:
   a) Copy, modify, adapt, translate, reverse engineer, decompile, disassemble, or create derivative works based on the Software
   b) Distribute, sublicense, lease, rent, loan, or otherwise transfer the Software to any third party
   c) Remove, alter, or obscure any proprietary notices (including copyright and trademark notices) on the Software
   d) Use the Software to develop competing products or services
   e) Share, publish, or make available the Software source code in any public or private repository
   f) Use the Software on multiple domains or installations without purchasing additional licenses
   g) Bypass, disable, or tamper with the license validation mechanism
   h) Use the Software after the license has expired or been terminated

3. LICENSE VALIDATION
   The Software requires a valid license key for operation. The license key is:
   a) Tied to a specific domain and cannot be transferred
   b) Subject to real-time validation with Licensor's license server
   c) May be revoked by Licensor for breach of this Agreement
   d) Non-refundable once issued

4. OWNERSHIP
   The Software is licensed, not sold. Licensor retains all right, title, and interest in and to the Software, including all intellectual property rights. This Agreement does not grant Licensee any rights to trademarks or service marks of Licensor.

5. NO WARRANTY
   THE SOFTWARE IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. LICENSOR DOES NOT WARRANT THAT THE SOFTWARE WILL MEET LICENSEE'S REQUIREMENTS OR THAT OPERATION OF THE SOFTWARE WILL BE UNINTERRUPTED OR ERROR-FREE.

6. LIMITATION OF LIABILITY
   IN NO EVENT SHALL LICENSOR BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR DATA USE, ARISING OUT OF OR RELATED TO THIS AGREEMENT OR THE USE OF THE SOFTWARE, EVEN IF LICENSOR HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

7. TERMINATION
   This Agreement is effective until terminated. Licensee's rights under this Agreement will terminate automatically without notice if Licensee fails to comply with any term of this Agreement. Upon termination, Licensee must immediately cease all use of the Software and destroy all copies.

8. ENFORCEMENT
   Any unauthorized use, reproduction, or distribution of the Software, or any portion thereof, may result in severe civil and criminal penalties, and will be prosecuted to the maximum extent possible under law.

9. UPDATES AND SUPPORT
   Licensor may provide updates, upgrades, or support services at its sole discretion. Any such updates or upgrades shall be considered part of the Software and subject to this Agreement.

10. GOVERNING LAW
    This Agreement shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law provisions. Any dispute arising from this Agreement shall be subject to the exclusive jurisdiction of the courts in [Your City], India.

11. ENTIRE AGREEMENT
    This Agreement constitutes the entire agreement between the parties concerning the Software and supersedes all prior or contemporaneous oral or written communications, proposals, and representations with respect to the Software.

BY USING THIS SOFTWARE, YOU ACKNOWLEDGE THAT YOU HAVE READ THIS AGREEMENT, UNDERSTAND IT, AND AGREE TO BE BOUND BY ITS TERMS AND CONDITIONS.
